USER AGREEMENT
Syntec Solutions AG LTD is an online service provider specializing in outsourcing and outstaffing solutions. We offer cost-effective services that help our clients save both time and money.
1. This Agreement
This Agreement is a contract between you and Syntec Solutions AG LTD, governing your use of its services. By using these services, you acknowledge that you have read, understood, and agreed to all the terms and conditions outlined in this Agreement. Syntec Solutions AG LTD reserves the right to modify this Agreement at any time, at its sole discretion, with prior notice to the user. The latest version of the Agreement, which will replace any previous versions, is available via the hyperlink at the bottom of the Syntec Solutions AG LTD website. It is recommended that you review the Agreement periodically to stay informed of any changes. Continued use of your membership constitutes acceptance of the most recent version of the Agreement.
2. Notice
You agree that Syntec Solutions AG LTD has the right to notify you about updates to our User Agreement or other policies through website posts, emails sent to the address linked to your account, or physical mail to the address on record. These notifications will be considered received within 24 hours of being posted on our website or emailed to you unless we are notified that the email was undeliverable. Any notices sent via mail will be considered received three business days after being sent.
3. Ownership
The content and design of this website are the intellectual property of Syntec Solutions AG LTD. Nothing on this website should be interpreted as granting a license or rights to use the copyrights, either implicitly or explicitly, without prior written consent from Syntec Solutions AG LTD. The name “Syntec Solutions AG LTD” and all related logos, products, and services displayed on our site are protected by copyright. Reproducing, imitating, or using these materials without explicit written permission from Syntec Solutions AG LTD is prohibited.
4. Eligibility and Authorization
To qualify for our Services, you must be at least 18 years old. By signing up for our services, you authorize Syntec Solutions AG LTD, either directly or through third parties, to conduct any inquiries deemed necessary to verify your identity. This may involve requesting additional information from you, asking you to confirm ownership of your email address or financial accounts, and cross-referencing your details with third-party databases or other sources.
5. Fees for users
Appointment as Limited Payment Collection Agent: The service provider (freelancer) designates Syntec Solutions AG LTD as their limited authorized payment collection agent, solely for the purpose of receiving payments from the Buyer (through its Payment Services Provider, if applicable) and forwarding those payments to the Freelancer. The Freelancer agrees that payments made by the Buyer to Syntec Solutions AG LTD will be considered the same as payments made directly to the Freelancer. The Buyer’s payment obligation will be fulfilled once Syntec Solutions AG LTD (or its Payment Services Provider, as applicable) receives the payment. Syntec Solutions AG LTD is responsible for transferring the funds to the Freelancer in accordance with the Agreed Payment Terms. If Syntec Solutions AG LTD (via Payment Services Provider) fails to transfer any funds to the Freelancer, the Freelancer’s recourse will be limited to Syntec Solutions AG LTD, not the Buyer.

Freelancer acknowledges that Syntec Solutions AG LTD may reflect or describe the terms outlined in this agreement in its terms of service, receipts, disclosures, or notices, including but not limited to receipts provided to Buyers that Syntec Solutions AG LTD deems necessary or appropriate.

Syntec Solutions AG LTD collaborates with Payment Services Providers to handle payment collections from Buyers, facilitate the transfer of funds to Freelancers, and manage Freelancer Balances. All payment-related services for withdrawing funds from the Syntec Solutions AG LTD platform are carried out by Syntec Solutions AG LTD’s Payment Services Providers.
6. Terms of Usage
The services provided by Syntec Solutions AG LTD are available only to registered users. We disclaim any liability for information used by any third party not authorized under this agreement.
7. Exclusion of Warranty
Syntec Solutions AG LTD and its third-party providers offer this site and any associated materials on an 'as is' basis, without making any guarantees. We do not guarantee the accuracy, completeness, timeliness, or reliability of any content or data available on the site. All warranties and conditions, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, are expressly disclaimed, along with those arising from statutes, legal principles, or customary business practices. Syntec Solutions AG LTD takes no responsibility for the accuracy, completeness, timeliness, or reliability of the information provided, nor for any business-related decisions, investments, expenses, or losses resulting from the material provided. Additionally, Syntec Solutions AG LTD and its third-party providers do not guarantee that this site, its servers, or any emails sent from Syntec Solutions AG LTD are free of viruses or other harmful components. Please note that certain jurisdictions may not allow the exclusion of implied warranties, which means this disclaimer might not apply in your case.
8. Limitation of Liability
Syntec Solutions AG LTD is not responsible for, and will not be liable for, any damage to or viruses that may affect your computer equipment or other personal property as a result of accessing, using, or browsing this site, or downloading any materials, data, text, images, videos, or audio from it. We are also not liable for any losses arising from our inability to provide timely reminders to users. Under no circumstances shall Syntec Solutions AG LTD, or any third-party providers or distributors, be held liable for any injury, loss, claim, damage, or liability, including but not limited to special, exemplary, punitive, indirect, incidental, or consequential damages of any kind. This applies whether the claim is based on contract, tort, strict liability, or any other legal theory, and relates to your use of this site or its content, or the actions or inactions of Syntec Solutions AG LTD or any third-party providers. This includes, but is not limited to, non-performance due to bankruptcy, reorganization, insolvency, dissolution, or liquidation, regardless of whether the involved party has been informed of the potential for damages to themselves or any other entities.
9. Nondisclosure
This user agreement outlines the terms governing the exchange of information between Syntec Solutions AG LTD (referred to as the "Recipient") and you, the new member (referred to as the "Discloser"), starting from the date of your registration. Both parties agree to share information with each other, with the understanding that the recipient will not disclose this information to any third party or use it in ways other than those specified in this agreement. The terms for handling confidential information are as follows:

Management of Confidential Information:
The receiving party agrees to keep all shared information confidential and not disclose it to third parties or use it without the prior written consent of the disclosing party. These confidentiality obligations will continue even after the termination of this agreement unless disclosure is required by government authorities. -
Definition of Confidential Information:
"Confidential Information" refers to all technical and non-technical data exchanged between the parties. This includes, but is not limited to, trade secrets, details about current, future, and proposed products and services, research data, development plans, financial information, customer lists, employee data, and marketing strategies. -
Exceptions to Confidential Information:
The confidentiality obligations do not apply to information that:
a. Becomes publicly available after disclosure, unless caused by actions or omissions of the receiving party;
b. Was already in the receiving party’s possession before disclosure and not obtained from the disclosing party;
c. Is lawfully received from third parties without breach of confidentiality;
d. Is publicly accessible at the time of disclosure. -
Residual Knowledge:
The confidentiality obligations of this agreement also extend to the employees, agents, or legal affiliates of the receiving party, who must comply with these terms. -
No Grant of Rights:
Signing this agreement and sharing proprietary information does not grant any rights or licenses related to inventions or patents, whether existing or developed in the future, owned or controlled by either party.
10. Indemnification
You agree to defend, indemnify, and hold harmless Syntec Solutions AG LTD, including its officers, managers, and employees, from any claims or demands (including legal fees) arising from your breach of this Agreement and/or your use of the Services.
11. Disputes
If you disagree with Syntec Solutions AG LTD, we encourage you to contact us directly. Our goal is to understand your concerns and work toward a resolution. If we are unable to meet your expectations, we aim to provide a neutral, cost-effective method for resolving the issue. Any disputes related to our services can be reported to customer service at any time through Syntec Solutions AG LTD's online help center.
12. Binding Arbitration
You agree that any dispute, claim, or controversy arising now or in the future related to this agreement or the online service ("claim"), regardless of the cause of action, will be resolved through binding arbitration. This includes counterclaims, cross-claims, third-party claims, interpleaders, or any other related matters. Arbitration will replace the right to take legal action in court, and you waive any rights you or we might have had to a jury trial or litigation in a court before a judge or jury. Additionally, you agree that you will not initiate or participate in a class action or any other representative action (such as a private attorney general action) in court.
13. Governing Law
This Agreement and its execution will be governed by the laws of the UK, without regard to its conflict of laws principles. You agree to submit to the exclusive jurisdiction of the UK for any disputes arising from your use of this site and this Agreement, including any matters subject to binding arbitration. Unless prohibited by applicable law, any claim or cause of action related to your use of the site must be filed within one (1) year from the date the claim arose.
14. Attorney's Fees
If Syntec Solutions AG LTD takes action to enforce this Agreement, it will be entitled to recover from you, and you agree to pay, all reasonable attorney’s fees, costs, and arbitration expenses, in addition to any other legal or equitable relief Syntec Solutions AG LTD is entitled to.
15. Waiver
Our failure to act regarding a breach by you or others does not waive our right to act on future or similar breaches.
16. Termination
Syntec Solutions AG LTD reserves the right to terminate this Agreement and these terms and conditions, as well as discontinue any services, at any time and for any reason. This includes but is not limited to, misuse of the site or failure to comply with these terms. Termination will not affect any legal or equitable rights to relief that Syntec Solutions AG LTD may have. Upon termination, all rights granted to you will immediately end and revert to Syntec Solutions AG LTD as applicable.
17. Assignment
You may not assign, transfer, subcontract, or delegate any of your rights, duties, or obligations under this agreement.
18. Modification
Syntec Solutions AG LTD reserves the right to update or modify these terms and conditions at any time. Your continued use of this site will be governed by the terms and conditions in effect at the time of your use.
19. Severability
These terms and conditions are intended to be severable. If any provision is found to be unenforceable or invalid, it will still be enforced to the maximum extent allowed by applicable law. This decision will not affect the validity or enforceability of the remaining provisions.
20. Entire Agreement
This Agreement, along with any terms and conditions incorporated or referenced herein, constitutes the full and final understanding between the parties regarding the subject matter. It supersedes all prior agreements or understandings, whether oral or written, related to this subject and cannot be amended or modified.
